Hawaii Managed IT And Telecom MSP, Recurring Revenue For Sale

Hilo, Hawaii, US
Asking Price:
Undisclosed Furniture / Fixtures included
Sales Revenue:
$1,512,447
Cash Flow:
$186,948

Our Client is a long-established managed services provider serving businesses and organizations across the Island of Hawaii, with a smaller share of clients on the mainland. Founded in 1999, the company delivers managed IT, network and security services alongside telecommunications, cloud hosting, domain management, IP camera security and data backup, all supported by a ticketing system, a dedicated support line and emergency service protocols.

Revenue for 2025 was $1,512,447 as filed, up from $1,456,281 in 2024. The company issues about 140 monthly recurring invoices, and most of its revenue is billed month by month. Clients include schools, nonprofits, medical practices, legal firms and local businesses, and no single account dominates; the ten largest together make up roughly a third of revenue.

The Cash Flow and EBITDA figures above understate what this company earns, and the reason is stated up front because it decides who can buy it. Like many long-time owner-operators, the owner has run a meaningful amount of personal and discretionary spending through the business for years, in lines such as vehicles, travel, meals, supplies, consulting and repairs. All of it is recorded in the books and none of it would carry over to a new owner, but every dollar of it reduces the profit shown on the tax return. The figures above come straight from the 2025 return as filed, before any of that spending is added back, so the company's true earnings for an owner are substantially higher. A full add-back schedule, line by line with a document behind each entry, is being prepared by the seller's accountant and will be provided to qualified buyers.

Because SBA lenders underwrite strictly from filed tax returns, an SBA loan cannot be sized to this company's real earnings, and an SBA-dependent structure will not work here. This opportunity is for buyers who can close with cash, conventional bank financing or their own balance sheet. Seller financing on part of the price is available for the right buyer, and a local bank that knows the business has said it is interested in discussing conventional financing with a qualified acquirer.

The company has drawn more than 500 buyer inquiries since it came to market, and it was sold: the paperwork was complete and closing was a week away when the buyer's chief executive suffered several deaths in his family in quick succession and withdrew. Nothing about the business changed. It is available again, and the goal is a prompt agreement with a substantial buyer who can close on the terms above. The owner is asking $3.6 million and is very flexible on it, on structure as well as price. If the business fits, please do not let the number stop you from making an offer.

The owner has built this company over 27 years and cares a great deal about the team and the clients who rely on it. He will stay on through a paid transition period, remain available afterward, and is looking for a buyer who will look after both. A second location on the west side of the island is opening now, bringing in-person service to a new part of the market.

The owner is selling to pursue other business interests and is seeking a well-capitalized buyer, ideally an established IT or telecom operator, who can close with cash or conventional financing. Confidentiality is a concern for the seller while the right buyer is identified, so the specific city, exact ZIP and name of the business are shared only after a prospective buyer signs an NDA and is vetted, and the location and ZIP shown above reflect the broader market area rather than the operating location.

NDA is required to secure a comprehensive Confidential Information Memorandum (CIM) crafted by ProNova Partners.
